Last updated: February 12, 2025 By accessing or using the services (the “Services”) provided by Y AI, Corp (“we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you disagree with any part of these terms, discontinue use immediately.

1. Acceptance of Terms

Your use of the Services constitutes acceptance of these Terms, our privacy policy , and all applicable laws. These Terms govern your right to integrate third-party applications, interact with AI-generated outputs, and authorize actions through the Services.

2. User Responsibilities

By accessing or using the Services, you represent, warrant, and agree to:

  • Data Indexing & Ownership: You may integrate third-party applications and index only your own personal data. You affirm that you either own or have obtained explicit legal authorization to index such data. Unauthorized indexing of third-party data without proper rights is strictly prohibited and may result in termination of access and legal liability.

  • Use of Retrieval-Augmented Generation Technology: You may interact with indexed data solely for work productivity purposes. You expressly agree not to use the system for generating or facilitating any content that is malicious, illegal, or unethical. Any misuse may result in immediate suspension or legal action.

  • Authorized Automated Actions: You may utilize automated systems within the Services to perform actions such as drafting documents, setting reminders, or sending messages, strictly for the purpose of enhancing work productivity. You acknowledge that any unauthorized, fraudulent, or improper use of automation may result in account suspension or legal action.

    Additionally, you agree to independently review and verify any AI-generated automated actions before execution, particularly those that may impact you or others. The Service bears no liability for any consequences, errors, or outcomes resulting from automated actions performed through the platform.

  • Verification of AI-Generated Responses: You acknowledge that AI-generated responses may not always be accurate or complete. You agree to independently verify any AI-generated output before relying on it for decisions that may impact you or others. The Service is not liable for decisions made based on unverified AI-generated content.

  • No Reverse Engineering: You shall not attempt to reverse engineer, decompile, disassemble, or otherwise extract the underlying source code or algorithms of the Services. This includes but is not limited to prompt injection attacks, inspection of network traffic, or any other means of unauthorized analysis or tampering. Any such actions will result in immediate termination of access and potential legal action.

  • Compliance with Third-Party Rights & Content Restrictions: You are solely responsible for ensuring that any data you add to the Services—whether via integrations or other methods—does not infringe on third-party intellectual property rights, violate any applicable laws, or contain illegal, restricted, or prohibited content.

  • Security & Maintenance of Third-Party Integrations: You are responsible for maintaining the confidentiality, security, and continued access of authentication credentials (e.g., API keys, passwords) used to connect third-party accounts to the Services. You are solely responsible for ensuring that integrations with third-party applications remain active and functional. Any unauthorized access, disconnection, or service disruption resulting from your failure to properly manage credentials or maintain integration settings shall be your sole responsibility.

  • Liability & Consequences: Use the Services in compliance with all applicable laws and solely for their intended purposes, listed in this section 2. User Responsibilities. Any violation of these responsibilities may result in immediate account termination, restriction of services, and potential legal consequences, including but not limited to liability for damages incurred by unauthorized use.

3. Third-Party Integrations & Data

  • Authorization: By connecting third-party services (e.g., Google Drive, Slack), you grant us limited access to your data solely to enable Services functionality.
  • Compliance: You acknowledge that third-party services are governed by their own terms, and we are not liable for their actions or policies.
  • Restrictions: We access only the minimum data required to operate the Services, as detailed in our Privacy Policy.

4. AI-Generated Content

Our Retrieval-Augmented Generation (RAG) technology produces responses based on your data and AI models. You acknowledge that:

  • No Guarantee of Accuracy: AI outputs may contain errors, inaccuracies, or obsolete information. Always verify critical outcomes independently.
  • Correction Requests: Report factual inaccuracies in AI-generated content about you to talk@sophi.app. We will evaluate requests per technical feasibility and legal obligations.

5. Automated Actions

The Services may execute actions on your behalf (e.g., file modifications, calendar updates) upon your explicit instruction. You:

  • Assume full responsibility for all actions initiated via the Services.
  • Acknowledge that we are not liable for consequences arising from automated actions, including data loss or service disruptions.

6. Intellectual Property

  • Your Data: You retain ownership of data submitted to the Services. By using the Services, you grant us a non-exclusive, royalty-free license to process and display such data solely to provide the Services.
  • Our IP: All software, AI models, and content provided by us remain our exclusive property.

7. Termination

We reserve the right to suspend or terminate your access to the Services for any reason. Account deletion triggers data removal as described in our Privacy Policy, including a 30-day soft deletion period.

8. Disclaimers & Liability

  • ”As Is” Service: The Services are provided without warranties of accuracy, reliability, or fitness for a particular purpose.
  • Limitation of Liability: We are not liable for indirect, incidental, or consequential damages arising from your use of the Services, including reliance on AI outputs or third-party integrations.

Services not warranted for:

  • Compliance with real-time regulatory updates in financial/health sectors
  • Detection of synthetic media in user-uploaded content
  • Preservation of chain-of-custody for evidentiary materials

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes shall be resolved through binding arbitration in Jurisdiction.

10. Dispute Resolution

Parties must first attempt informal negotiation for 30 days. Unresolved disputes shall be settled through binding arbitration under AAA rules, conducted in New Castle County, DE. Class actions are prohibited.

11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Services with 30 days’ notice for material changes (7 days for security/legal updates)
  • Implement emergency maintenance without prior notice to address critical system vulnerabilities
  • Deprecate API endpoints or integration protocols with 90 days’ written notice via registered account email

Continued use after modifications constitutes acceptance. We disclaim liability for service interruptions caused by:

  • Third-party provider outages affecting AI model availability
  • Force majeure events impacting cloud infrastructure regions
  • Scheduled maintenance windows published in advance

12. Subscriptions

  • Automatic monthly/annual renewal until cancelled
  • Price changes communicated 30 days in advance
  • Cancellation effective at billing cycle end via our dashboard

13. Prohibited Activities

Users may not:

  • Reverse engineer AI models or APIs
  • Use output to retrain AI models
  • Train competing AI models using Sophi outputs
  • Bypass security protocols in third-party integrations
  • Generate harmful or deceptive content

14. User Data

We perform routine backups but disclaim liability for data loss. Users retain ownership of submitted data while granting us processing rights to operate Services.

15. Limitations of Liability

Total liability capped at last 6 months’ subscription fees. Excludes liability for:

  • AI hallucination consequences
  • Third-party integration failures
  • Unauthorized account access
  • Data corruption during automated actions

16. Updates

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material updates will be communicated via email or in-app notice.
